大多数境外上市公司是我国各行业中的大型骨干企业，在国民经济中具有重要地位。同时，近年来越来越多的中小企业特别是民营企业到境外发行股票和上市，境外上市公司的所有制结构和行业结构趋于多元化。境外上市已经成为我国利用外资的重要渠道。通过境外上市，我国企业筹集了大量资金，优化了资本结构；逐步完善了公司治理结构，透明度和规范运作水平明显提高；利用境内外两个市场，优化资源配置，参与国际经济技术合作和竞争。

中国证监会依据《公司法》、《证券法》、《国务院关于股份有限公司境外募集股份及上市的特别规定》等法律、法规及规章的规定，对境内企业发行境外上市外资股的申请进行审批。截至2002年12月底，中国证监会已与二十个境外监管机构建立了有效的监管合作机制。

Overseas Listing

On July 15, 1993, XX Inc. got listed in Hong Kong Associated Exchange as the first China’s enterprise listed overseas. By the end of December 2002, a total of 75 domestic companies got listed or issued shares in overseas market, raising the capital up to USD 20.425 billion. Among these, 59 are listed in Hong Kong Exchange (including 20 in second board), 11 in Hong Kong exchange and New York exchange, 3 concurrently in Hong Kong and London, 1 in Hong Kong, New York and London, 1 in Singapore.

Most overseas listed companies are large-scale backbone enterprises of China with great significance in the national economy. Meanwhile, more and more SMEs, particularly the private enterprises, got listed overseas or issued shares overseas, thus diversifying the ownership structure and sector structure of the overseas listed companies. The overseas listing has become a major channel for attracting foreign investment. China’s enterprises raised a great volume of capital via the overseas listing to optimize the capital structure, improve the management structure, transparency and regulated operation. Meanwhile, domestic enterprises optimize their resource structure via domestic/international market to take part in the international

economic/technical cooperation and competition.

CSRC reviews/approves the application of domestic enterprises for overseas listing according to the Company Law, Securities Law, Special Regulations of State Council about Share Issuance and Listing of Domestic Stock Limited Liability Companies. By the end of December 2002, CSRC has entered into effective regulatory cooperation relationship with 20 overseas regulatory organizations.
