上市公司向社会公开发行新股，包括向原股东配售股票（以下简称配股）和向全体社会公众发售股票（以下简称增发）两种方式。
根据《上市公司新股发行管理办法》，上市公司申请发行新股，除了符合《公司法》、《证券法》规定的条件，还应当符合以下具体要求：
(一) 具有完善的法人治理结构，与对其具有实际控制权的法人或其他组织及其他关联企业在人员、资产、财务上分开，保证上市公司的人员、财务独立以及资产完整；
(二) 公司章程符合《公司法》和《上市公司章程指引》的规定；
(三) 股东大会的通知、召开方式、表决方式和决议内容符合《公司法》及有关规定；
(四) 本次新股发行募集资金用途符合国家产业政策的规定；
(五) 本次新股发行募集资金数额原则上不超过公司股东大会批准的拟投资项目的资金需要数额；
(六) 不存在资金、资产被具有实际控制权的个人、法人或其他组织及其关联人占用的情形或其他损害公司利益的重大关联交易；
(七) 公司有重大购买或出售资产行为的，应当符合中国证监会的有关规定；
(八) 中国证监会规定的其他要求。
New Shares Issued by Listed Companies
The listed companies can issue new shares to the public in two ways, i.e. rights issuing to existing market shares (hereinafter referred to “divided shares”) and shares issued to the public (hereinafter referred to as “second issuing”).
According to the Management Methods of New Share Issued by Listed Companies, the listed company applying for issuing of new shares shall meet the qualifications stipulated by the Company Law and Securities Law, and meet the following conditions:
(1)Comprehensive legal-person management structure, separated from the legal person of actual control or other affiliated entities/enterprises in terms of the staff, assets and accounting, independent staff and accounting and integrated asset of the listed company;
(2)Articles of Association up to the regulations of Company Law and Instruction to Articles of Association of Public Companies;
(3)Notice of general meeting, convoking mode, voting mode and resolutions of the general meeting compliant with Company Law and applicable regulations;
(4)The capital raised in the new-shares issuing shall be used to the field compliant with the government sector policies;
(5)The capital raised in the issuing shall not exceed the capital needed for the projected investment projects approved by the general meeting in principle;
(6)No illegal appropriation of capital and assets by individuals, legal persons or other affiliate entities/individuals, or no key affiliate transactions in serious detriment of the interest of the listed company;
(7)Key purchase/sales of the assets compliant with applicable CSRC regulations;
(8)Other qualifications of CSRC.
