浅谈股份翻译

新语丝北京翻译公司田老师说，股份翻译代表对公司的部分拥有权的翻译，可分为普通股翻译、优先股翻译。
新语丝北京翻译公司田老师指出，股份翻译一般有以下三层含义：
1、股份翻译是股份公司的构成成分；
2、股份翻译代表了股份公司股东的权利与义务；
3、股份翻译可以通过股票价格的形式表现其价值。
在一个或一系列相关交易中，在企业合并或控制权变更过程中，公司进行清算、解散或清盘，无论其自愿与否；或出售、租赁、许可；或以任何形式处置公司的全部或部分资产和/或知识产权。以上情况下，公司的股东将不会保留续存公司的多数投票权[为了获得合格的首次公开募股而进行的重组情况除外，该首次公开募股应得到优先股股东的批准]（每一个“清算事件”），而对于公司成员的权益分配应按照以下方式进行：
In the event of any liquidation, dissolution, winding up of the Company, whether voluntary or not, or a sale, lease, license or any form of disposal of all or substantially all of the assets and/or Intellectual Property Rights of the Company, in one or a series of related transactions, or a merger of consolidation of or a change in control in the Company in which the Shareholders of the Company will not retain a majority of the voting power in the surviving company[, but excluding reorganisation for the purpose of achieving a Qualified IPO which is approved by the Preferred Shareholders (each a “Liquidation Event”), distributions to the members of the Company shall be made in the following manner:
在清算时，如果公司及其股东收取的约定金额不是现金或部分是现金，那么根据[●](ii)条款支付或分配的证券和财产的价值应按照支付给公司时或向股东支付时的公平市场价值计算，所有事宜由董事会（包括应得到投资者董事的赞成）决定，按照商业诚信原则合理地开展业务，条件是（i）如果这些证券是在既定的证券交易所或全国市场体系上市的，那么其公平市场价值指的是该体系或交易所在价值确定前的20个交易日内所报的收盘销售价的平均值，（如果不止一个交易所，则取最大值），或（如果该日期20天内没有销售记录，那么以之前的最后一个营业日的报价为准），详情参见报纸中的报道。（ii）如果公认的证券交易商对这些证券定期进行报价，但并没有报告销售价格，那么公平市场价值应是价值被确定日证券的高出价和低卖价的平均值（或如果在该日没有报价，那么应以之前最后一个交易日的报价为准）。
In any Liquidation Event, if the consideration received by the Company or its Shareholders is other than cash or partly in cash, the value of securities and property paid or distributed pursuant to this Article [●](ii) shall be computed at fair market value at the time of payment to the Company or at the time made available to the Shareholders, all as determined by the Board (including the affirmative vote of the Investor Director) in the good faith exercise of its reasonable business, provided that (i) if such securities are listed on any established stock exchange or a national market system, their fair market value shall be the average closing sales price for such securities as quoted on such system or exchange (or the largest value if more than one exchange) for 20 trading days immediately preceding such date the value is to be determined (or if there are no sales for such date, then for the last preceding business day on which there were sales), as reported in the newspaper, and (ii) if such securities are regularly quoted by a recognized securities dealer but selling prices are not reported, their fair market value shall be the mean between the high bid and low asked prices for such securities on the date the value is to be determined (or if there are no quoted prices for such date, then for the last preceding business day on which there were quoted prices).
